These Terms of Service ("Terms") govern your access to and use of the Gatherlane platform at gatherlane.events and any related mobile applications, APIs, or services (collectively, the "Platform"), operated by Gatherlane, Inc. Confirm legal entity & jurisdiction. By creating an account or using the Platform in any way, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
Throughout these Terms, the following definitions apply:
You must be at least 18 years of age to register an account and use the Platform. By registering, you represent and warrant that you meet this requirement. If you are registering on behalf of a company, organisation, or other legal entity, you further represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.
You may register using a valid email address and password, or through a third-party authentication provider (currently Google). You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@gatherlane.events if you suspect unauthorised access to your account.
Each individual may hold one personal account. Duplicate accounts may be merged or terminated without notice. A single user may hold both an Event Owner account and a Vendor profile simultaneously on the same account.
Gatherlane is a technology platform that enables Event Owners to create and manage events, and facilitates connections between Event Owners and Vendors. Gatherlane is not a party to any contract between an Event Owner and a Vendor, and is not responsible for the performance of any services agreed between them except as expressly set out in these Terms.
Event Owners may use the Platform to create event pages, manage guest lists, collect RSVPs, sell tickets, send invitations, and access related tools. Access to specific features is determined by the Event Tier and any Add-Ons purchased for that event.
Guests do not require a Gatherlane account to RSVP or upload media. Guests access events through a unique personal invitation link. By using their invitation link, Guests accept the terms of these Terms to the extent applicable to their participation, including the Content licence in Section 8.
Gatherlane charges on a per-event basis. Each event is associated with a single Event Tier purchased at the time of publication. There is no platform-wide recurring subscription. Tier prices, guest limits, and included features are set by Gatherlane and displayed on the pricing page at gatherlane.events/pricing. Prices are subject to change with notice; changes do not affect events already published.

Specific feature inclusions and current prices are shown at checkout and on the pricing page. Gatherlane reserves the right to modify tier features with reasonable notice.
An Event Owner may upgrade a published event to a higher tier at any time by paying the price difference between the current and new tier, calculated using prices current at the time of upgrade. Upgrades take effect immediately. Downgrades are not permitted after publication if doing so would exceed the lower tier's guest limit.
Add-Ons (such as additional WhatsApp sends, extra storage, AI features, or custom domain) may be purchased for a specific event at any time. Add-On fees are non-refundable once the Add-On has been activated or consumed.
Gatherlane may offer promotional discounts through automatic promotions or user-entered codes. Promotions are subject to their own terms, including validity periods, usage limits, and applicable events or Add-Ons. Promotions have no cash value and may not be combined unless explicitly stated. Gatherlane reserves the right to cancel or modify any promotion at any time.
All payments are processed by Paystack (for Ghana and other supported African markets) or Stripe (for certain vendor-facing functions in international markets). You agree to the applicable payment processor's terms of service. Gatherlane does not store card numbers or sensitive payment credentials on its own servers. Payment obligations are fulfilled in the currency displayed at checkout (typically Ghanaian Cedis, GHS, for the primary market).
Event Owners may enable ticketed events with paid or free ticket tiers. The Event Owner is responsible for setting ticket prices, managing availability, and determining their own refund policy for tickets. Gatherlane facilitates ticket payment processing but is not the merchant of record for ticket transactions between Guests and Event Owners. Lawyer to confirm merchant of record position
Users who create a Vendor profile and are verified by Gatherlane ("Vendors") may list their services on the Vendor Marketplace. Vendor participation is subject to the separate Vendor Agreement, which is incorporated into these Terms by reference.
Gatherlane acts as an intermediary technology platform for Vendor Bookings. Gatherlane is not a party to the underlying service contract between an Event Owner and a Vendor. Gatherlane collects payment from the Event Owner on acceptance of a Booking and holds those funds until after the event, at which point payout is made to the Vendor less the applicable commission (currently 15%, subject to change with notice).
In the event of a dispute between an Event Owner and a Vendor regarding a Booking, Gatherlane provides a dispute resolution process. Gatherlane's decision as to the allocation of held funds is final and binding on both parties for the purposes of funds held by Gatherlane. Neither party is precluded from pursuing legal remedies against the other party directly.
You may use the Platform only for lawful purposes and in accordance with these Terms. You agree that you are solely responsible for all Content you submit and all activity that occurs under your account.
You must not, and must not permit any third party to:
Event pages must not promote or facilitate illegal activities, hate speech, violence, exploitation of minors, or any other activity prohibited by applicable law. Gatherlane may remove any event or Content that violates these standards without notice.
The Platform, including its software, design, trademarks, logos, and proprietary content, is owned by or licensed to Gatherlane and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use Gatherlane's trademarks, logos, or brand elements without our prior written consent.
Subject to these Terms, Gatherlane grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purposes. This licence does not include any right to download, copy, modify, distribute, or create derivative works from the Platform's underlying software or design.
You retain ownership of all Content you upload or submit to the Platform. By submitting Content, you grant Gatherlane a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, display, and distribute that Content solely for the purpose of operating and improving the Platform, providing the services to you, and as otherwise described in our Privacy Policy.
You represent and warrant that: (a) you own or have the necessary rights to the Content you submit; (b) your Content does not infringe any third-party intellectual property, privacy, or other rights; and (c) your Content complies with these Terms and applicable law.
Gatherlane reserves the right to review, remove, or restrict access to any Content at any time, with or without notice, where we reasonably believe it violates these Terms, applicable law, or third-party rights.
If you believe your copyright has been infringed by Content on the Platform, please send a written notice to legal@gatherlane.events containing: (i) a description of the copyrighted work; (ii) identification of the infringing material and its location on the Platform; (iii) your contact information; (iv) a good-faith statement that use is not authorised; and (v) a statement of accuracy under penalty of perjury. When a Guest submits a photo or video through a public event page (the "Guest Upload" feature), the following terms apply in addition to the general content licence in Section 8.1:
(a) Copyright ownership. The Guest who captured the photo or video retains full copyright ownership of that work under the Ghana Copyright Act 2005 (Act 690) and applicable international conventions (including the Berne Convention). Submission of a photo to an event does not transfer copyright to Gatherlane or to the Event Owner.
(b) Licence to the Event Owner. By submitting a photo or video through the Guest Upload feature, the Guest grants the Event Owner a personal, non-exclusive, royalty-free licence to:
This licence does not include the right to use the submission for commercial purposes, advertising, sublicensing to third parties, or any use outside the specific event context without the Guest's separate explicit consent.
(c) Download consent (optional). The Guest Upload form includes an optional consent checkbox: "I allow the event host to download and keep this photo as part of their event memories." If the Guest ticks this checkbox, the Event Owner is additionally licensed to download and retain a personal copy of the submission for private, non-commercial use in connection with the event. If the Guest does not tick this checkbox, the Event Owner may only view and display the submission as described in (b) above.
(d) Moderation and approval. All Guest submissions are held in a private moderation queue visible only to the Event Owner. Submissions are not displayed publicly until the Event Owner explicitly approves them. The Guest acknowledges that the Event Owner may decline to publish any submission without providing a reason.
(e) Withdrawal of consent. A Guest may request removal of their submitted photo at any time by contacting support@gatherlane.events with the event name and a description of the submission. Gatherlane will facilitate removal within 10 business days, subject to any technical constraints of the archive feature. Withdrawal of consent does not affect any processing that occurred lawfully before the request.
(f) Guest's warranty. By submitting a photo or video, the Guest warrants that: (i) they own the copyright in the submission or have the right to grant the above licence; (ii) the submission does not contain images of other individuals without their knowledge and reasonable implied consent (for example, group photos at an event); and (iii) the submission does not violate any applicable law or third-party rights.
When an Event Owner approves and publishes a Guest submission, that submission is displayed on the public event page for viewing purposes only. Public display of Content on the Platform does not constitute a licence for any member of the public to download, copy, reproduce, redistribute, or use that Content in any form. Copyright in all Guest-submitted Content remains with the original photographer or creator.
Visitors to a public event page who wish to use or share any displayed photos must obtain permission directly from the copyright owner (the Guest who submitted the photo). Gatherlane provides no facility for visitors to download approved Guest Content and does not grant any such right.
Event Owners who upload their own photos and media to an event gallery (distinct from Guest submissions) confirm they own or are licensed to use that content. Event Owners who invite Guests and publish a guest list are acting as data controllers in respect of that Guest data. Please refer to Section 9 and our Privacy Policy for your obligations regarding Guest personal data.
Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you acknowledge that you have read and understood our Privacy Policy. Where you are an Event Owner who adds Guests to the Platform, you are responsible for ensuring you have a lawful basis for sharing those Guests' personal data with us and for complying with applicable data protection law in your communications with Guests.
The Platform is provided on an "as is" and "as available" basis. We do not guarantee that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components. We reserve the right to modify, suspend, or discontinue the Platform or any feature at any time, with or without notice.
To the fullest extent permitted by applicable law, Gatherlane disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty as to the accuracy, reliability, or completeness of any Content on the Platform, including Content submitted by other users or Vendors.
The Platform integrates with third-party services (including Paystack, Cloudinary, Resend, and WhatsApp Business API). Gatherlane is not responsible for the availability, accuracy, or conduct of those services. Your use of third-party services is subject to their own terms and policies.
To the maximum extent permitted by applicable law, Gatherlane, its directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or personal injury, arising out of or in connection with your use of the Platform, even if Gatherlane has been advised of the possibility of such damages.
In any event, Gatherlane's total aggregate liability to you for any claims arising from or related to these Terms or the Platform shall not exceed the greater of: (a) the total amount paid by you to Gatherlane in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) GHS 500.00 (or equivalent in local currency). Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the minimum extent permitted by law.
You agree to indemnify, defend, and hold harmless Gatherlane and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of or access to the Platform; (b) your Content; (c) your violation of these Terms; (d) your violation of any applicable law or third-party rights; or (e) your events or interactions with Vendors or Guests. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you.
You may close your account at any time by following the instructions in Account → Delete Account. Upon termination, your access to the Platform ceases immediately. Events that have been published and for which Guests hold tickets or invitation links will remain accessible until their respective archive dates unless otherwise required by law.
We may suspend or terminate your account, or restrict your access to any feature, at any time with or without notice if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful activity, or for any other reason in our sole discretion. Where feasible, we will endeavour to give advance notice and an opportunity to remedy any breach before suspension or termination.
On termination, your licence to use the Platform ceases. Sections 7, 8.1, 10, 11, 12, 14, and 15 survive termination of these Terms.
Lawyer to confirm governing law and dispute resolution mechanism
These Terms shall be governed by and construed in accordance with the laws of [GOVERNING JURISDICTION], without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of [JURISDICTION COURTS].
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending resolution of any dispute.
If you are a consumer resident in the European Union, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
We may update these Terms from time to time. When we make material changes, we will provide notice by updating the "Last updated" date above and, where required by applicable law, by sending a notification to your registered email address. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and close your account.
These Terms, together with our Privacy Policy, Cookie Policy, Refund Policy, and (where applicable) the Vendor Agreement, constitute the entire agreement between you and Gatherlane and supersede all prior agreements, representations, and understandings relating to the Platform.
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Gatherlane.
You may not assign or transfer these Terms or any of your rights hereunder without our prior written consent. Gatherlane may assign these Terms without restriction.
Neither party shall be liable for any failure or delay in performance caused by events beyond their reasonable control, including acts of God, government action, pandemic, natural disaster, or failure of third-party infrastructure.
