This Vendor Agreement ("Agreement") governs your participation as a Vendor on the Gatherlane Platform at gatherlane.events, operated by Gatherlane, Inc.. It supplements and is incorporated into the Gatherlane Terms of Service, which you must also accept. By creating a Vendor profile or accepting a Booking through the Platform, you agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a business entity, you represent that you have authority to bind that entity.
In addition to the definitions in the Terms of Service, the following definitions apply:

All Vendor profiles are subject to review and verification by the Gatherlane team before being listed on the Vendor Marketplace. Gatherlane may request additional information, documentation, or evidence of credentials at any time. Gatherlane reserves the right to decline verification of any applicant at its sole discretion, without providing reasons.
Verification is represented on the Vendor Profile by a "Verified" badge. Verification does not constitute an endorsement by Gatherlane of the Vendor's quality, reliability, or any specific service outcome.
You are responsible for ensuring that your Vendor Profile remains accurate, complete, and up to date at all times. Material changes to your business (change of legal entity, loss of required licence, change of service category) must be reported to Gatherlane within 14 days.

Vendors may create one or more Service Packages, each with a defined name, description, price (in GHS), and list of inclusions. Service Packages are publicly visible on the Vendor Profile. You may create, update, deactivate, or delete Service Packages at any time, provided that any Booking already accepted under a given Package is honoured at the agreed terms.
Prices listed in Service Packages must be your genuine prices. Repeatedly quoting a price materially higher than your listed price after a Booking request is accepted may result in a warning or account suspension.
Each business may maintain one Vendor Profile. Duplicate profiles will be merged or removed without notice.
Event Owners may send Booking Requests to you directly through the Platform. You will be notified of each request by email and in-app notification. Booking Requests include the event date, guest count, venue, and a message from the Event Owner.
You must respond to each Booking Request (by accepting or declining) within 48 hours of receipt. Requests not responded to within this period will expire automatically, and the Event Owner will be notified. Repeated failure to respond within 48 hours will negatively affect your response rate score and search ranking on the Platform.
When you accept a Booking Request, a Booking is created. The Event Owner is charged the agreed Booking Value by Paystack immediately upon your acceptance. By accepting a Booking, you make a binding commitment to provide the agreed services at the agreed event. This constitutes a legally binding contract between you and the Event Owner, with Gatherlane acting as payment intermediary only. Lawyer to confirm contract formation position under applicable law
You may decline any Booking Request. You should provide a reason (date conflict, outside service area, fully booked, or other). Gatherlane does not penalise you for reasonable declinations, provided you respond within the 48-hour window.
Gatherlane charges a commission of 15% of the Booking Value on each confirmed Booking. This commission covers payment processing fees, platform infrastructure, fraud protection, and dispute resolution services. Gatherlane may adjust the commission rate with 30 days' written notice to Vendors. The new rate will apply to Bookings accepted after the effective date of the change; previously confirmed Bookings are not affected.
Commission is calculated on the gross Booking Value (the amount charged to the Event Owner), before any taxes. The Net Payout to the Vendor is the Booking Value minus the Commission. For example:

To receive Payouts, you must register a valid bank account through the Platform via Paystack. You must provide accurate bank account details. Gatherlane is not responsible for Payouts sent to an incorrect bank account where the error is due to inaccurate information provided by you. You are responsible for updating your bank account details if they change.
Payouts are initiated by Gatherlane after the event date, once any applicable dispute window has passed. The Net Payout is transferred directly to your registered bank account via Paystack. You will receive an email notification when a Payout is initiated. Processing time depends on your bank (typically 1–5 business days after initiation).
Gatherlane reserves the right to withhold or adjust a Payout in the following circumstances:
If an Event Owner cancels a confirmed Booking, the following applies:

If you cancel a confirmed Booking at any time, the Event Owner receives a full refund (100%) and you receive no Payout. Additionally, you receive a cancellation strike. Three cancellation strikes within 12 months may result in suspension or permanent removal of your Vendor account. Vendor-initiated cancellations should be avoided at all cost and should only occur in genuine emergencies (medical, bereavement, force majeure). We recommend contacting the Event Owner as early as possible if you foresee a conflict.
Failure to appear at a confirmed event without prior notice to the Event Owner and Gatherlane constitutes a Vendor no-show. A no-show is treated as a Vendor cancellation and results in a full refund to the Event Owner, no Payout to the Vendor, a cancellation strike, and may result in immediate suspension of your Vendor account.
If an Event Owner raises a dispute about your services (quality, non-performance, partial delivery), the dispute will be reviewed by Gatherlane's admin team. Both you and the Event Owner will be invited to submit evidence and a written response. Gatherlane may request additional documentation (contracts, photographs, communications) from either party.
After reviewing all evidence, Gatherlane will issue a decision and determine the allocation of any held funds. Possible outcomes are:
Gatherlane's decision regarding the allocation of Platform-held funds is final and binding for those funds. This does not affect either party's right to pursue legal claims against the other party independently.
Evidence must be submitted within 7 days of the dispute being opened. Evidence submitted after this window may not be considered. Acceptable evidence includes: signed contracts, written quotes, photographs of work delivered, WhatsApp/email communications, event entry records, or third-party confirmation.
After a Booking is completed, Event Owners may leave a rating (1–5 stars) and written review on your Vendor Profile. Reviews are visible to all Platform users. You may submit one public response to each review. You may not offer incentives for positive reviews or threaten Event Owners to discourage negative reviews. Gatherlane may remove reviews that violate these rules, are demonstrably false, or contain personal attacks, at its sole discretion.
Your average rating, response rate, and cancellation rate affect your placement in Vendor Marketplace search results and your eligibility for featured status.
You are an independent contractor, not an employee, agent, partner, or joint venturer of Gatherlane. Nothing in this Agreement creates or implies any employment relationship. You are solely responsible for:

You are solely responsible for determining your tax obligations arising from income earned through the Platform, and for filing and paying all applicable taxes to the relevant authorities. Gatherlane does not withhold tax on your behalf unless required to do so by applicable law. Lawyer to advise on withholding tax obligations under Ghana Revenue Authority rules
Gatherlane may be required to report Vendor earnings to tax authorities (e.g., Ghana Revenue Authority) where required by law. By registering as a Vendor, you authorise Gatherlane to make any such disclosures as required.
You retain ownership of all photographs, videos, service descriptions, and other content you upload to your Vendor Profile ("Vendor Content"). By uploading Vendor Content, you grant Gatherlane a worldwide, royalty-free, non-exclusive licence to host, display, reproduce, and distribute Vendor Content for the purpose of operating the Vendor Marketplace and promoting the Platform (including in marketing materials). This licence continues until you remove the Vendor Content or close your account.
Intellectual property in work product you deliver to Event Owners (e.g., photographs taken at an event) is governed by any separate contract between you and the Event Owner. Gatherlane makes no representation as to ownership of work product and is not a party to any such arrangement.
The following services may not be listed or offered on the Platform:
Offering prohibited services will result in immediate removal of your Vendor account without notice, forfeiture of any held Payouts pending investigation, and may be reported to relevant authorities.
You are strongly recommended to hold appropriate professional indemnity, public liability, and (where applicable) employers' liability insurance commensurate with the services you provide. Gatherlane does not provide insurance cover for Vendor activities. Gatherlane is not liable for any losses arising from your failure to hold adequate insurance. Gatherlane may suspend your Vendor account (preventing new Bookings while existing confirmed Bookings remain unaffected) for:
Gatherlane may permanently remove a Vendor from the Platform for serious or repeated violations, confirmed fraud, or conduct that brings Gatherlane or the Platform into disrepute. On permanent removal, any outstanding Payouts not subject to a dispute will be processed in the normal course; Payouts subject to ongoing dispute or chargeback investigations may be withheld pending resolution.
You may close your Vendor account at any time by contacting info@gatherlane.events. Account closure does not affect your obligations to fulfil any Bookings already confirmed before the closure date.
Gatherlane's liability to you as a Vendor shall be limited in accordance with Section 11 of the Terms of Service. In particular, Gatherlane is not liable for: (a) your failure to obtain a Booking; (b) Event Owner non-payment where Gatherlane has correctly processed held funds; (c) losses arising from disputes decided against you; or (d) any loss of reputation or business opportunity.
You agree not to publicly disparage Gatherlane, its employees, or other Platform users. You agree to treat information about Gatherlane's internal systems, pricing algorithms, commission structures, or customer data that you may become aware of through your use of the Platform as confidential and not to disclose it to third parties without Gatherlane's prior written consent.
Gatherlane may update this Agreement from time to time. Material changes will be communicated to you by email to your registered address at least 30 days before the change takes effect. Your continued participation as a Vendor after the effective date constitutes acceptance of the revised Agreement. If you do not accept the changes, you must close your Vendor account before the effective date.
Lawyer to confirm governing law and jurisdiction
This Agreement shall be governed by the laws of [GOVERNING JURISDICTION]. Any disputes shall be subject to the exclusive jurisdiction of the courts of [JURISDICTION COURTS].
